Welcome to Rivalve Furniture! These Terms and Conditions govern your access to and use of our services, including the purchase of furniture products manufactured by us. By engaging in a business relationship with us, you agree to comply with these terms.

1. Definitions

  • Products: Furniture items produced and delivered by Rivalve Furniture.
  • Agreement: This document outlining the terms and conditions between the company and the client.

2. Order Placement

1. 1. Purchase Orders: All orders must be submitted in writing, specifying product specifications, quantities, delivery dates, and destination.
   2. Order Confirmation: Orders are confirmed only upon receipt of a written acknowledgment from Rivalve Furniture.
   3. Changes to Orders: Any changes to confirmed orders must be communicated in writing and may incur additional charges or affect the delivery schedule.

3. Pricing and Payment Terms

1. 1. Pricing: All prices are quoted in USD ($) and are exclusive of taxes, shipping, and handling fees unless stated otherwise.
   2. Payment:
      • A deposit of 30% is required upon order confirmation.
      • The balance payment should be paid after the Estimated Time of Delivery (ETD) and before the estimated time of arrival (ETA)
      • Payments must be made via the USD bank account of BCA (Bank Central Asia).

4. Production and Delivery

1. 1. Lead Times: Production lead times will be communicated upon order confirmation.
   2. Shipping:
      • Products are shipped via containers to the designated address provided by the client.
      • All shipments are FOB (Free on Board) [Insert Location], unless otherwise agreed.
   3. Delays:
      • Rivalve Furniture is not responsible for delays caused by force majeure events, including natural disasters, strikes, or transportation issues.
      • Clients will be notified promptly of any delays.

5. Product Specifications

1. 1. Products are manufactured according to the specifications outlined in the purchase order.
   2. Minor variations in color, grain, or texture due to natural materials (e.g., wood) are not considered defects.

6. Inspection and Acceptance

1. 1. Clients are responsible for inspecting products upon delivery.
   2. Any claims for damage, defects, or discrepancies must be reported within 7 business days of receiving the shipment.
   3. Failure to notify Rivalve Furniture within this period constitutes acceptance of the products.

7. Returns and Refunds

8. Intellectual Property

1. 1. All designs, trademarks, and materials produced by Rivalve Furniture are the intellectual property of the company and may not be used, reproduced, or distributed without prior written consent.
   2. The website content, including images, logos, and product designs, is protected by copyright and trademark laws. Any unauthorized use or reproduction is strictly prohibited.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of business.

10. Limitation of Liability

1. 1. Rivalve Furniture is not liable for:
      • Losses resulting from improper handling or use of products after delivery.
      • Indirect, incidental, or consequential damages.
   2. In all cases, the company’s liability is limited to the value of the affected order.

11. Termination

1. 1. Either party may terminate this agreement with 30 days’ written notice.
   2. Orders in progress at the time of termination will be fulfilled unless otherwise agreed.

12. Dispute Resolution

1. 1. Any disputes arising from this agreement will be resolved through negotiation between the parties.
   2. If negotiations fail, disputes will be settled through arbitration in accordance with the laws of Indonesia.

13. Force Majeure

The Company is not responsible for delays or non-performance caused by events beyond its reasonable control, including but not limited to natural disasters, pandemics, strikes, or governmental actions.

14. Governing Law

This agreement is governed by the laws of Indonesia.

15. Amendments

Rivalve Furniture reserves the right to update or modify these Terms and Conditions at any time. Clients will be notified of significant changes.
